Public offer

Purchase and Sale Agreement is intended for buyers and is an official proposal from the Seller during the conclusion of the agreement. In order to purchase the Goods, the Buyer accepts the terms of this Agreement:

1. General Terms

1.1. This document is a public offer agreement (in accordance with Articles 633, 641, and Chapter 54 of the Civil Code of Ukraine). Its terms are the same for Buyers, regardless of whether they are individuals, legal entities, or individual entrepreneurs.

1.2. Regarding the acceptance of the terms of this agreement, i.e., the Seller's public offer, the consumer becomes the Buyer.

1.3. By entering into the Agreement, the Buyer confirms that they have read and agreed to the proposed terms. The Buyer gives permission for the Seller to process their personal data for the purpose of mutual settlements, receipt of invoices, acts, and other documents. The permission for the processing of personal data is valid for the entire duration of the Agreement and after its termination.

2. Definition of terms

2.1. The Seller sells goods in stores and on the website based on a licensing agreement to use the MOYO trademark.

2.2. The Goods are the list published on the website and displayed on the shelves of the stores, which may include:

  • price, name, and description. The Goods on the website are accompanied by their images;
  • QR code that leads to the product card on the website;
  • % Cashback;
  • notes: bestseller, new arrival, best price.

2.3. The Buyer is a capable adult individual or a legal entity/individual entrepreneur.

2.4. An Order is a completed and placed application by the Buyer for the purchase of Goods, addressed to the Seller.

2.5. Access to the store's website is provided on the Internet at https://www.moyo.ua/ua/.

2.6. Personal account in the form of a buyer's personal section on the Seller's website. Only the Buyer has access to it. The personal account displays their personal information and the history of placed Orders.

3. Essence of the agreement

3.1. The Seller undertakes to sell the Goods based on the Order placed by the Buyer on the store's website. The Buyer undertakes to pay for the cost of the Goods.

3.2. The Seller guarantees that the Goods have not been pledged, are not in dispute, under arrest, and are not subject to the rights of third parties.

3.3. The Seller and the Buyer confirm that this agreement is not a fictitious transaction or one that occurred through deception or under duress.

3.4. The Seller confirms that they have the necessary permits for economic activities and guarantees that they have the right to sell the Goods without restrictions, in accordance with the requirements of Ukrainian legislation, and undertakes to be liable in case of violation of the Buyer's rights.

3.5. The Buyer accepts the terms of the agreement when placing the Order by clicking the "Buy" button. Any subsequent objections from the Buyer relieve the Seller of responsibility for non-compliance with the terms of this agreement and allow the Seller to unilaterally cancel the Order.

4. How to communicate with the website of the online store

4.1. The Buyer can view the content of the online store's website, place Orders, participate in promotions, giveaways, and use other services provided by the website.

4.2. Registration is required for the Buyer to access their personal information and provide additional features for working with the online store's website.

4.3. During registration, the Buyer enters the following information:

  • Full name.
  • Phone number.
  • Email address.
  • Residential address.

4.4. The Buyer agrees to provide accurate information about themselves. The Seller is not responsible for the accuracy of the data provided by the Buyer when placing an Order.

4.5. The Buyer is responsible for their actions on the store's website under their account and on their behalf.

4.6. The Seller has the right to refuse the Buyer from placing an Order if the Buyer has violated the terms of this agreement.

5. Як оформити Замовлення 

5.1. Покупець сам оформляє Замовлення на сайті магазину, додаючи обрані Товари до віртуального кошика та натискаючи кнопку «Купити».

5.2. Оформити Замовлення на Товари можуть зареєстровані та незареєстровані Покупці.

6. Cost and payment terms

6.1. The price of the Goods is determined by the Seller and indicated on the website of the online store. The total cost of the Order is determined by adding up the prices of all Goods included in the Order and the cost of delivery.

6.2. The Order amount may change depending on the price, quantity, or assortment of the Goods.

6.3. The Buyer can choose a convenient method of payment at their discretion:

  • in cash,
  • by non-cash payment,
  • by electronic payment,
  • through a payment terminal.

6.4. Payment is made in Ukrainian hryvnias.

6.5. The Order is considered paid from the moment the funds are received into the Seller's or their representative's bank account. The payment of the Order confirms the Buyer's agreement to the terms of this agreement.

6.6. The Seller delivers the Order after full payment for the Goods.

6.7. The price of the Goods indicated on the store's website may be changed by the Seller unilaterally.

6.8. The Goods are not reserved until the Buyer's funds are credited to the Seller's bank account. If a refund is necessary, the Buyer must inform the Seller of the bank account details to which the money should be transferred.

7. Conditions for returns

7.1. If the value of the ordered Goods does not correspond to reality, the Seller is obliged to inform the Buyer to confirm or cancel the Order. If it is not possible to contact the Buyer, the Order is automatically canceled. If the Order has been paid for, the Seller refunds the Buyer the amount paid to the Buyer's bank account in accordance with the procedures and timelines established by Ukrainian legislation.

7.2. When placing an Order, the Buyer agrees that they have the right to fully cancel the Order, rather than partially.

8. What the Seller undertakes to do

8.1. Provide accurate information about the Goods, their price, and delivery terms.

8.2. Guarantee the conformity of the quality of the Goods within Ukraine.

9. What the Buyer undertakes to do

9.1. Provide the Seller with truthful and accurate information about themselves.

9.2. Pay for the Goods at the specified price in the Orders.

9.3. Carefully inspect the Goods and packaging when making a purchase. In the presence of a delivery service representative, unpack the purchased item and check the completeness, ensuring that there are no damages. Sign the delivery note (receipt, register, etc.) to acknowledge receipt of the Order.

9.4. If there are any complaints, demand that the delivery service representative prepare an External Inspection Report and a Acceptance-Delivery Report in 3 copies. The External Inspection Report describes damages to the external packaging, while the Acceptance-Delivery Report describes defects in the individual packaging of the Goods.

9.5. If there are discrepancies, incompleteness, or packaging issues with the purchased Goods, inform the Seller about the defects no later than 5 (five) days from the date of purchase or receipt. The item should be returned in its original condition, with all labels, seals, and documentation intact.

9.6. Provide passport details for receiving the Order at the courier company's office and personally appear with an identification document.

10. What the Buyer is entitled to do

10.1. Demand a refund for the payment of the Goods if the Seller does not fulfill the conditions of the Order.

10.2. Modify the Order before payment is made.

10.3. Timely raise complaints about the quality of the Goods in accordance with the Law of Ukraine "On Consumer Rights Protection".

11. Responsibility of the Buyer and the Seller

11.1. The Seller is not responsible for any damage to the Buyer if the Buyer has improperly used the Goods.

11.2. The Seller is not responsible for the untimely fulfillment of Orders and its obligations if the Buyer has provided false information about themselves.

11.3. The Seller and the Buyer are equally responsible for fulfilling the obligations under this Agreement in accordance with the legislation of Ukraine.

11.4. The Seller and/or the Buyer are not responsible for the non-fulfillment of their obligations in case of force majeure events: war, military actions, earthquakes, floods, fires, actions of state authorities, changes in customs rules, import and export restrictions that occurred independently of the will of the Seller and/or the Buyer after the conclusion of this agreement. The party that is unable to fulfill its obligations immediately notifies the other party and provides documents issued by authorized bodies.

12. Personal Data Protection Policy

12.1. By providing their personal data, the Buyer voluntarily agrees to the processing and use of information about themselves without any time limitations of the Agreement.

12.3. The Seller uses personal data to provide and promote services.

12.4. The Seller undertakes to keep confidential the information received from the Buyer, except in cases where the disclosure of personal data is required by law.

12.5. The Seller is not responsible for the non-fulfillment of its obligations if the information about the Buyer is not accurate.

13. Newsletters and informational messages

13.1. By registering on the website of the Online Store, the Buyer gives consent to the Seller to receive SMS and email notifications.

13.2. The Buyer can unsubscribe from receiving newsletters at any time by clicking the "Unsubscribe" link at the bottom of the email. It is also possible to call the hotline at 0800507800 (free from landlines, according to the operator's tariffs).

14. Supplementary conditions

14.1. This agreement is valid within the framework of Ukrainian legislation.

14.2. Disputes between the Buyer and the Seller are resolved through negotiations. If the differences cannot be resolved, the Buyer or the Seller may apply to the court to resolve the dispute.

14.4. The Seller has the right to make changes to the text of this agreement at any time and without prior notice to the Buyers. The up-to-date information in the agreement is always available on the website of the Online Store.
